EXPERIENCE
Michael has been a partner with Malkerson Gunn Martin LLP since its inception. His practice includes representation of commercial and community developers, landlords, tenants, buyers and sellers in connection with all aspects of real estate development, operation and ownership, including purchase and sale agreements, leases, development and other municipal agreements, easement agreements and other title matters, construction and architectural agreements and mortgage financing documentation. His current clients include various developers, such as a regional retail developer and the developer/owner of large multi-use commercial projects. Previous significant clients include a national restaurant group developing company-owned facilities, the developer of various large golf course communities throughout the country, and a large nation-wide lender in resolving its community development lending portfolio.
Leasing. Michael represents landlords (both developers and non-developer owners) and tenants in commercial and office leasing, advising his clients on lease structuring issues as well as the negotiation and preparation of lease documents. His experience includes retail and office leasing, as well as large and small, multi-tenant and standalone leases, and build-to-suit.
Purchase/Sale/Development. Michael represents both buyers and sellers of improved and unimproved commercial and community development real estate, including commercial developers in the acquisition of raw land and properties slated for redevelopment, community builders in the acquisition of raw land for development, and commercial developers in the sale of large and small developed properties to builders, individuals and institutional investors.
Workouts. Michael worked closely with a large nation-wide lender in resolving its community development lending portfolio, analyzing and resolving legal and business issues in connection with large community development REO properties, both prior to and after acquiring ownership through foreclosure or deed in lieu, in preparation for ultimate sale. He handled the sale process, including preparatory analysis and resolution of issues impacting sale, negotiating and preparing sale agreements and related documents, supervising local counsel, resolving issues as they arose and handling other matters as required attention.
Lending. Michael advises commercial and community developers in connection with construction financing for development projects, and permanent financing from institutional lenders, as well as buyers of existing property on financing issues. His representation includes advice in the structuring of financing packages, and the preparation and negotiation of loan documents, and 1031 exchange coordination. His finance experience involves transactions with national institutional lenders, syndicated lenders, insurance companies and local lenders, large and small. He also frequently acts as local counsel for national and international lenders in multi-state transactions, providing local law advice and opinions of counsel.
